Graded Shoes Company Pre-Order Terms & Conditions

Graded Shoes, LLC (“Graded Shoes,” “Graded Shoes Company”, “we,” “our,” or “us”)

These Pre-Order Terms and Conditions (“Terms”) govern your purchase and use of a Graded Shoes Pre-Sale Promotional Code (“Promotional Code” or “Pre-Order”). By purchasing a Promotional Code, you agree to these Terms. If you do not agree, do not complete a Pre-Order.

Description of the Pre-Sale Promotional Code

A Promotional Code is a fully refundable, prepaid credit redeemable for the authentication, grading, and encapsulation of one (1) pair of shoes by Graded Shoes.
The Promotional Code does not include shipping to the Graded Shoes Company Headquarters; however, it does include free return shipping from Graded Shoes Company’s Headquarters to the customer once services are completed. Promotional Codes purchased during this Pre-Sale qualify for Expedited Services once grading and encapsulation operations have launched (estimated 1/1/2026).

Refund Policy

All Pre-Order purchases of Promotional Codes are fully refundable, for any reason, at any time prior to redemption.
Refunds must be requested by contacting Graded Shoes Company’s customer support and providing proof of purchase.
Refunds will be issued to the original payment method when possible. Once a Promotional Code is redeemed and services begin, the refund window closes.

Pre-Order Price and Payment

The price of each Promotional Code is $99.00 USD. A maximum of 2,000 Promotional Codes will be sold in this Pre-Sale. Payment is due in full at the time of checkout. Purchasing a Promotional Code does not grant ownership interest, equity, or voting rights in Graded Shoes, LLC.

Redemption of Promotional Codes

Promotional Codes will be redeemable once the company’s authentication, grading, and encapsulation operations officially launch (estimated 1/1/2026).
Customers will be notified via email when code redemption is available.
Promotional Codes hold no expiration date, unless prohibited by law.
Promotional Codes are non-transferable.

Graded Shoes Company Pre-Order Promotional Code will be honored to service sneakers with a declared value of $500.00 USD or less.

Pairs of shoes with a declared value exceeding $500.00 will be ineligible for submission using a Promotional Code.

Service Description

Upon redemption, Graded Shoes Company will:

  • Authenticate the submitted shoes
  • Evaluate the condition and assign a numerical grade
  • Encapsulate the pair within Graded Shoes Company’s proprietary two-piece graded sneaker encapsulation
  • Return the encapsulated pair to the customer

Graded Shoes Company makes no guarantee regarding:

  • The outcome of authentication or grading
  • The grade assigned
  • The cosmetic appearance of the encapsulation
  • The subjective satisfaction of the customer with results

Customer Responsibilities

Customers are responsible for securely packaging and shipping their shoes to Graded Shoes Company’s Headquarters.
Customers bear all risk of loss or damage to their shoes while in transit to Graded Shoes Company Headquarters.
Customers must provide accurate and complete submission information.

Turnaround Times

All turnaround times are estimates only and are subject to change. Customers acknowledge that Pre-Order demand, manufacturing timelines, staffing, supply chain factors, and other variables may result in extended delays. Graded Shoes Company is not liable for delays regardless of duration.

Assumption of Risk & Limited Liability

By purchasing and/or redeeming a Promotional Code, the customer expressly agrees that:

Service Outcome and Satisfaction

Graded Shoes is not responsible for dissatisfaction with:

  • Assigned numerical grade
  • Authentication findings
  • Encapsulation appearance
  • Perceived quality or workmanship
  • Quality control or aesthetic preferences

All grades and determinations are final and non-negotiable.

Damage or Loss

Graded Shoes Company is not responsible for:

  • Loss or damage caused by third-party shipping carriers
  • Loss, misdelivery, delays, or theft while in transit
  • Damage due to customer packaging errors
  • Lost packages before arriving at Graded Shoes Company’s facility

Once shoes are received and verified at Graded Shoes’ Headquarters, liability is limited only to negligence proven under Minnesota law.

Service Processing Risks

Graded Shoes Company is not liable for:

Manufacturing variances in encapsulation materials
Imperfect seals or aesthetic deviations
Cosmetic blemishes or micro-abrasions incurred during handling
Adhesive or bonding irregularities
Any natural variation inherent in handmade or semi-handmade processes

Limitation of Liability

To the fullest extent permitted by law:

Graded Shoes Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • Loss of expected value
  • Reduction in resale value
  • Emotional dissatisfaction
  • Business losses
  • Collectible market fluctuations

Hold Harmless and Indemnification

To the fullest extent allowed by law, the customer agrees to indemnify, defend, and hold harmless Graded Shoes, LLC and its owners, employees, contractors, affiliates, suppliers, and partners from all claims, damages, costs, losses, liabilities, or expenses arising from:

  • Customer misuse or misrepresentation
  • Incorrect submissions
  • Shipping errors or omissions
  • Disputes over grades or assessments
  • Dissatisfaction with services
  • Use or inability to use the encapsulation
  • Acts of third-party carriers
  • Any breach of these Terms & Conditions

No Guarantee of Launch Date

Graded Shoes Company is actively working toward operational launch; however, no fixed launch date is guaranteed. Customers acknowledge that Pre-Sale proceeds will be used to fund initial manufacturing, tooling, and operational readiness. Refunds remain fully available until redemption regardless of launch timeline.

Intellectual Property

All materials, designs, branding, grading systems, encapsulation technologies, and related intellectual property remain the exclusive property of Graded Shoes, LLC.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflicts of law principles. Any disputes arising from or related to Graded Shoes Company, its owners or affiliates, shall be resolved in the courts located within the state of Minnesota. 

Amendments

Graded Shoes Company reserves the right to update or modify these Terms at any time. Any changes will be posted publicly, and will apply to all future redemptions but will not retroactively alter refund rights.
